3. **Commercial Terms**

||||
The commercial framework is designed to align incentives, ensure transparency, and maximize the success of the collaboration.
|
||||
|
||||
1. **Token Supply Allocation**
|
||||
1. Guaranteed Allocation: 2% of total token supply (an additional 0.5% will be allocated to SVH for every incremental USD 500,000 raised beyond the first USD 1,000,000).
|
||||
2. Cap: The total allocation under this mechanism will not exceed 4% of the total token supply.
|
||||
1. **Monthly Retainer**
|
||||
3. Commencement: Payable upon the successful completion of the first USD 1,000,000 total raised by the Threefold/SVH.
|
||||
4. Amount: USD 20,000 per month.
|
||||
5. Scope of Access: Grants the project all the points covered in the SoW, full access to the Singularity Venture Hub incubation team (7 people) and also includes the possibility for the Singularity Venture Hub team to formally join as Token Team, an element that can be highlighted in project decks, investor materials, and strategic communications.

||||
2. **Fundraising & Sales Success Fees**
|
||||
6. Fundraising/Sales: 10% of all capital raised through SVH introductions and investor networks and/or product sales directly attributable to SVH’s business development efforts.
